1. Acceptance of these Terms
These Terms of Use ("Terms") govern your access to and use of the Dolphy website, application, and services (collectively, the "Service"), operated from Ontario, Canada ("Dolphy", "we", "us"). By creating an account, clicking "I agree", or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Educational purpose — not investment advice
The Service produces AI-generated, institutional-style research for educational and informational purposes only, to be used for personal study and sharing. The content, including any "fair value", rating, target, model, or verdict, is not investment, financial, legal, accounting, or tax advice, and is not a recommendation, endorsement, offer, or solicitation to buy, sell, or hold any security or to pursue any investment strategy. We are not a registered investment adviser, broker-dealer, or portfolio manager, and no fiduciary or advisory relationship is created by your use of the Service.
3. Your responsibility and assumption of risk
All investment decisions are made by you, at your own discretion and risk. Markets involve risk, including the possible loss of principal; past performance does not indicate future results. You should independently verify any information and consult a licensed professional before making any financial decision. To the maximum extent permitted by law, Dolphy shall have no liability for any gain, profit, loss, or damage of any kind arising out of or relating to any investment, trade, or decision made in reliance on the Service.
4. AI-generated content and accuracy
Research is generated by automated large-language-model systems using third-party and public data (including SEC/EDGAR filings and market data). It may contain errors, omissions, outdated figures, or "hallucinations", and may not reflect the most recent events. We do not warrant the accuracy, completeness, timeliness, or reliability of any content.
5. No warranty
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of liability
To the fullest extent permitted by law, Dolphy and its operators, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of (or inability to use) the Service. Our total aggregate liability for any claim will not exceed the greater of (a) the amount you paid us for the Service in the three months before the claim, or (b) CAD $50.
7. Eligibility and accounts
You must be at least the age of majority in your jurisdiction and legally able to enter a contract. You are responsible for the security of your account and for all activity under it. The Service is currently offered as an invite-only beta and access may be limited, changed, or revoked.
8. Acceptable use
You agree not to misuse the Service, including by: reselling or redistributing reports as licensed investment advice; scraping, reverse-engineering, or overloading the Service; uploading unlawful, infringing, or confidential material you have no right to share; or using the Service to violate any law or the rights of others.
9. Subscriptions, credits, and payments
Paid plans, credits, and invoices are billed through our payment processor (Stripe). Prices and features may change. Except where required by law, payments are non-refundable. You are responsible for any applicable taxes unless collected on your behalf.
10. Intellectual property
The Service, its software, and its design are owned by Dolphy and protected by law. Subject to these Terms, you may use reports you generate for your own personal, non-commercial study and sharing. Materials you upload remain yours; you grant us a limited licence to process them to provide the Service.
11. Third-party data and services
The Service relies on third-party data and infrastructure (including SEC/EDGAR, market-data providers, AI model providers, email, and hosting). We are not responsible for third-party content or services, and their terms may also apply.
12. Termination
We may suspend or terminate access at any time, including for breach of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
13. Changes
We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date; continued use after changes constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Disputes are subject to the courts located in Ontario, Canada.

三、您的责任与风险自负

四、AI 生成内容与准确性
研究内容由自动化大语言模型系统，基于第三方及公开数据（包括 SEC/EDGAR 文件及市场数据）生成， 可能包含错误、遗漏、过时数据或"幻觉"，也可能未反映最新事件。我们不保证任何内容的准确性、完整性、及时性或可靠性。
五、不作保证
本服务按"现状"及"现有可用"基础提供，不附带任何明示或默示的保证，包括适销性、特定用途适用性及不侵权。
六、责任限制
在法律允许的最大范围内，Dolphy 及其运营方、关联方与供应商，对因使用（或无法使用）本服务所引起或相关的 任何间接、附带、特殊、后果性、惩戒性或惩罚性损害，或任何利润、收入、数据或商誉的损失，概不负责。 我们对任何索赔的累计责任总额，不超过 (a) 索赔前三个月内您就本服务向我们支付的金额，或 (b) 50 加元，二者以较高者为准。
七、资格与账户
您须达到所在司法管辖区的成年年龄并具备订立合同的法律能力。您应对账户安全及账户下的一切活动负责。 本服务目前以邀请制内测形式提供，访问权限可能受限、变更或被撤销。
八、可接受使用
您同意不滥用本服务，包括：将报告作为持牌投资建议转售或再分发；抓取、逆向工程或使本服务过载； 上传您无权分享的违法、侵权或机密材料；或利用本服务违反任何法律或侵害他人权利。
九、订阅、积分与付款
付费计划、积分及发票通过我们的支付处理方（Stripe）结算。价格与功能可能变动。除法律另有要求外，款项概不退还。 除非由我们代为收取，相关税费由您自行承担。
十、知识产权
本服务及其软件、设计归 Dolphy 所有并受法律保护。在遵守本协议的前提下，您可将自己生成的报告用于个人、 非商业的学习与分享。您上传的材料仍归您所有；您授予我们为提供本服务而处理这些材料的有限许可。
十一、第三方数据与服务
本服务依赖第三方数据与基础设施（包括 SEC/EDGAR、市场数据提供方、AI 模型提供方、邮件与托管服务）。 我们对第三方内容或服务不负责任，其条款也可能适用于您。
十二、终止
我们可随时暂停或终止访问，包括因违反本协议。您也可随时停止使用本服务。依其性质应在终止后继续有效的条款将继续有效。
十三、变更
我们可能不时更新本协议。重大变更将在此页面更新并标注新的"最后更新"日期；变更后继续使用即视为接受。
十四、适用法律
本协议受加拿大安大略省法律及其适用的加拿大联邦法律管辖，不适用其冲突法规则。争议由加拿大安大略省法院管辖。
